Hi Dinesh,I'm assuming this applies to Indian Employment. Most Indian Employers utlize a standard employment format with a few details changed. Most of these Indian contracts forbid employees to start businesses of their own whether related or unrelated to the job they have been hired for.Now, I have often spoken to HR professionals and challenged the idea on the premise that buying a residence or a commercial office and givint it out on rent or lease is akin to making an additional income. The idea here is that they expect you to give them a 100% of your time and attention while being employed with them. As far as legal action goes, your contract may or may not state the action the company intends on taking if you are to breach the clause. In most cases, the clause reads 'will be subject to penal action or any such action as deemed fit by the management.' In most cases all that happens in large companies is that the employee is let off with a warning or worse, is fired. It almost never leads to legal action. That's too much of effort for something very small.What you need to worry about is the embezzlement clause which often is considered in unison with the external business / employment clause i.e. if they are to ascertain that your actions lead to a direct revenue reduction or loss on their company, they will most certainly go legal. Everything the city does must be authorized by the city ordinance. In this case it sounds like they are zoning ordinance, sometimes called the land use ordinance. Then you should also check the ordinance involving the issuance of business licenses.

Be careful not to fall into the trap of arguing that you are being treated differently then others. A lot of factors could be at play in the other cases. Those businesses may have been created before an ordinance was amended or they may be in a different zone with different permitted uses.

Assuming the startup is a private limited company, the proceas and documents required:Determine the mode of investment, i. e. Loan or EquityIncase its a loan, then remember a company can take loans only from other corporates or financial institution. Incase you are an individual, you will have to be a director or a shareholder of the aame company to which you want to give loan. Incase the company is a recognized startup, then you may consider a convertible note. Assuming you can give a loam to the Company and the company can receive the loan, the Company will need a board resolution and maybe shareholders’ approval for accepting the loan. You should also enter into a loan agreement that sets out the terms of the loan. In case there is a security, additional filings will have to be made with the RoC.Incase its equity, the first decision is around valuation. Once you have decided the valuation, you will have to enter into a Share Subscription and Shareholders Agreement setting out in detail the terms of the investment and your rights in the Company. Post that the company will have to complete a few compliance requirements post which only can you invest in the company.
