Directors run a company, not the shareholders. It is typically the Directors decision as to who does what and who constitutes the board. Directors can dismiss other Directors (including the CEO) providing it does not breach their employment rights or any prior agreement put in place. Where this can and does change, is the right, by law, for a majority of shareholders to appoint and remove Directors. You cannot write any agreement that trumps this right. Therefore any Director that owns a majority of shares (50%+) has absolute control over the board. Other Directors could try to dismiss him, but it would be a pointless exercise as he could re-appoint himself/herself and remove them.
